Special Meeting of the Membership

The BAS Board of Directors has called a Special General Meeting for the membership, scheduled for Sunday, October 29th, at 6:30 PM at the Save Max Sports Centre (Community Room #1). This special meeting has been convened to discuss proposed changes to the club’s bylaws to ensure compliance with the new Ontario Not-For-Profit Corporations Act (ONCA).

The proposed changes, which are essential for the continued growth and operation of the organization, include the following amendments:

5. Membership:
The Board proposes eliminating life members and honorary members, categories that have rarely been used in the past. This change is aimed at streamlining the membership structure and focusing on the active membership base.

6. Board of Directors:
The Board also recommends reducing the number of directors to five. The new structure will consist of the following positions: President, Vice-President, Treasurer, Secretary, and Registrar. All other roles within the organization will be filled by officers, simplifying the leadership hierarchy.

14. Finance:
For this special meeting another proposed change involves the removal of the audit requirement. Given the current size of the club, an audit is no longer mandatory. However, the membership will still retain the right to request an audit through a resolution at any future Annual General Meeting (AGM).

This special meeting is a critical opportunity for the membership to review and vote on these proposed changes. Your participation is important to ensure that the club’s governance structure remains efficient and compliant with the latest regulations.
